Estonian investment company “Infortar” is acquiring the Lithuanian agricultural business group “Litagra” — once the deal is finalised, “Infortar” will become the largest dairy producer in the Baltic states, the company has announced.

A subsidiary of “Infortar” will acquire 100 per cent of “Litagra’s” shares from the company’s founder, Gintaras Kateiva, the asset management group “Invalda INVL” and Adomas Grigaitis, the companies announced on Tuesday.

The transaction will be finalised once regulatory approvals have been obtained and other stipulated conditions have been met. The value of the transaction has not been disclosed.

“Invalda INVL” announced via the “Nasdaq” Vilnius Stock Exchange that, had the transaction been completed on 30 June – the date on which its latest financial results were published – taking into account the terms of the agreement, brokerage fees and other costs, its net profit for the first half of the year would have increased by approximately 3.6 million euros.

„Infortar“’s managing director, Marttis Talgre (Martis Talgrė), stated in a press release that this transaction is one of Estonia’s largest foreign investments in Lithuanian agriculture.

“Historically, Estonia and Lithuania have been agricultural nations. Our geographical latitude and climate are particularly suited to dairy production; our cows’ milk yield is the highest in Europe, and our farms are the most modern. Milk is our most important natural resource, and by increasing its production, it could become a key export product and help us compete successfully in international markets“ – stated Ainas Hanschmidtas (Ainas Hanšmitas), head of “Infortar”, in a press release.

“Invalda INVL”, which has been a shareholder in “Litagros” since 2011, states that the transaction confirms the value created by the company and successfully concludes the investment cycle.

Upon completion of the transaction, the group’s farms will house a total of 16,600 head of livestock, annual milk production will reach 93,000 tonnes, and the total area of cultivated land will increase to 23,000 hectares. Poultry farming, including turkey and broiler farms, will become a new area of operation.

The current management team at “Litagros” will continue to run the company’s operations, and “Infortar” does not plan any significant changes to them, according to the statement.&

According to data from the Centre of Registers, G. Kateiva currently holds 48.9 per cent, “Invalda INVL” indirectly holds 48.81 per cent, and A. Grigaitis holds approximately 2.3 per cent of the company’s shares.

Founded in 1991, “Litagra” is engaged in dairy farming, arable farming, poultry farming, feed production and other agriculture-related activities. The group comprises “Joniškio grūdai”, the “Litagros” agricultural centre, the Estonian company “Agrohold Estonia” and others – a total of 34 companies.

In 2025, the group’s consolidated revenue amounted to €69 million, up 26.1 per cent on the previous year (€54.7 million), it generated a net consolidated profit of €8.5 million – 2.5 times more (€3.4 million) – according to the company’s report.

The Group’s consolidated earnings before interest, taxes, depreciation and amortisation (EBITDA) last year amounted to €14.5 million, according to the report.
