"Dividends of EUR 424 million paid to Vilniaus Truda from divested businesses in Poland and Bulgaria
One of the largest Lithuanian business groups „Vilniaus prekyba“, managed by Nerijaus Numa, was paid a dividend of EUR 424 million in December last year from the transfer of its „Maxima Group“ businesses in Poland and Bulgaria to another company in the same group. 
In addition, the shareholder was paid a further €106 million dividend for 2024 at the beginning of 2025, the „Maxima group“ announced on Friday.
As BNS wrote, the sole shareholder of „Maxima grupė“, „Vilniaus prekyba“, as part of a change in the group's structure in December 2025, shares in the companies operated by the „Maxima skupina“ in Poland and Bulgaria have been transferred to the other company, „Vilniaus prekybos“, in the form of a new dividend from the Dutch company „Paretas B.V.“ – it acquired the Polish operator of the „Stokrotka“ supermarket chain „Emperia Holding“ and the Bulgarian operator of the „T Market“ supermarket chain „Maxima Bulgaria“.
The value of the deal was equal to the amount of dividends paid out, which amounted to EUR 424 million, according to the 2025 performance report of „Maxima Group“, financial experts who consulted BNS confirmed.
The deals were part of the restructuring of the „Vilniaus prekybos“ group's structure, and the entire restructuring is expected to be completed in the first half of 2027.
„Maxima Group“ revenues in Poland and Bulgaria were €1.97 billion and €302 million respectively in 2025, with losses of €17 million and €8 million respectively.
„Maxima Group“ continues to operate the „Maxima“ supermarket chain, „Maxima“ e-shop „Barbora“, „Franmax“ and „Maxima International Sourcing“.
The shareholders of „Vilniaus prekybos“ are the Netherlands-registered „Metodika B.V.“ and the company „Kalpa“, managed by Ignas Dilys, while the ultimate shareholders of the group are „N. Numa (96.74 per cent) and Ignas Dilys, according to the data of the Centre of Registers.
